NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (“Agreement”) is entered into as of 2026-09-08 by and between:

Company A (“Disclosing Party”), and

Company B (“Receiving Party”)

1. PURPOSE

The Disclosing Party intends to share Confidential Information with the Receiving Party for the following purpose: Business discussions and potential partnership.

2. CONFIDENTIAL INFORMATION

Confidential Information means any non-public information disclosed by either party, in any form, that is designated as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

3. OBLIGATIONS OF THE RECEIVING PARTY

The Receiving Party shall keep the Confidential Information strictly confidential, use it solely for the stated purpose, and disclose it only to personnel with a need to know who are bound by equivalent obligations.

4. EXCLUSIONS

These obligations do not apply to information that is or becomes publicly available through no fault of the Receiving Party, was lawfully known before disclosure, is independently developed without reference to the Confidential Information, or must be disclosed by law.

5. TERM

This Agreement takes effect on the date first written above and the confidentiality obligations survive for 2 years.

6. RETURN OF MATERIALS

Upon written request, the Receiving Party shall promptly return or destroy all materials containing Confidential Information and confirm destruction in writing.

7. GOVERNING LAW

This Agreement shall be governed by the laws of the jurisdiction agreed between the parties in writing.
